Administrative Formalities in the event of changes

Declaring company changes

Delegating legal declarations to a professional

Your company can entrust to Thémis all the legal formalities necessary for implementing the legal operations decided on.

For a spot operation (the purchase or opening of a new establishment, sale, the winding-up of an activity, the grouping together of companies or an investor’s entry into the capital…) or a strategic decision (the change of the company’s location, restructuring…), it is necessary to report the changes in the company to the appropriate administrations, whether they concern its financial structure (share capital), its accounting and taxation (dates of the beginning and end of the company year), its management and its operational locations (its main and secondary establishments) or its activity.

These formalities are not to be overlooked due to the liability of the executive attached thereto and the repercussions which the failure to perform them may entail for the company.

Certain activities also have specific affiliation or declaration obligations because they are subject to certain regulations (sales agents, real estate agents, artisans, medical professionals...)
These formalities are not to be overlooked due to the liability of the executive attached thereto (criminal liability in particular for certain activities) and the repercussions which the failure to perform them may entail for the company (right to renew a commercial lease in the case of the entry of an establishment into the Trade Register, service of notices to certain creditors).

The performance of these formalities by a lawyer, under good conditions and within the legal deadlines is often a condition of the effectiveness of the legal operations carried out.  Their complex nature also requires that they be entrusted to a member of the legal profession.

The cost of performing these formalities is included in the estimates of costs and fees prepared by Thémis for each operation and the firm is careful to indicate for each file the period required for performing them.
Thémis requests a provision for all costs and disbursements, determined in a prior estimate, which the firm pays to the various administrations as these formalities are performed.  Once the file is completed, this provision is broken down in a summarized invoice accompanied by vouchers.
